Terms of Service

1. Eligibility

To use HoloSync, you must:

• Be at least 18 years old (or the age of majority in your jurisdiction).
• Have the legal authority to enter into a binding contract.
• Use the Services in compliance with all applicable laws.

By creating an account, you represent and warrant that you meet these requirements.

2. Account Registration

To access certain features (buying, selling, messaging, verification, alerts), you must create an account.

You agree to:

• Provide accurate and complete information.
• Keep your login credentials secure.
• Not share or sell your account.
• Notify us immediately of unauthorized access.

You are responsible for all activity that occurs under your account.

HoloSync may suspend or terminate accounts for suspicious activity, violations of these Terms, or fraudulent behavior.

3. Marketplace Features

HoloSync provides tools that allow users to buy, sell, trade, and showcase collectible cards. HoloSync is not a party to transactions between users except as outlined in the escrow and payment sections.

3.1 Listings

Sellers are responsible for:

• Ensuring listings are accurate, complete, and not misleading.
• Accurately describing card condition.
• Providing real photos when required.
• Complying with applicable shipping laws.

HoloSync may remove or alter listings that violate policies or appear fraudulent.

3.2 Purchases

By placing an order, you agree to purchase the item at the listed price and pay all applicable fees and taxes.

All sales are binding.

3.3 Trades (Future Feature)

Trading features may be offered in the future. Users engaging in trades acknowledge that HoloSync does not guarantee condition, authenticity, or value unless stated otherwise.

4. Escrow & Payment Processing

HoloSync partners with Stripe (or another registered payment processor) to handle payments, identity verification, and payouts.

When you buy or sell:

• Funds may be held in escrow until certain conditions are met (delivery confirmation, verification steps, dispute resolution).
• Fees may apply and will be disclosed at checkout or payout.
• You authorize HoloSync and its payment processors to debit/credit your payment methods as needed to complete transactions.

HoloSync is not responsible for delays caused by Stripe, banks, or shipping carriers.

5. User Verification

HoloSync may require identity verification (ID checks, address confirmation, selfie verification, etc.) to ensure platform safety.

You agree that:

• You will provide accurate verification information.
• HoloSync may suspend or restrict your account if verification fails or is refused.
• Verification is used only to enhance trust and prevent fraud.

6. Authenticity & Condition

Unless explicitly stated ("HoloSync Verified"), HoloSync does not guarantee authenticity, grading accuracy, value, or condition of items sold.

Users are responsible for:

• Truthful descriptions,
• Accurate grading,
• Disclosing flaws, alterations, or restorations.

HoloSync may offer authenticity checks or condition checks in the future, but these do not replace user responsibility.

7. Fees

HoloSync may charge fees for:

• Selling
• Escrow services
• Instant payouts
• Dispute handling
• Shipping labels
• Premium account features

Fees may change at any time with notice posted on the platform.

8. Messaging & User Conduct

You agree not to:

• Harass, threaten, or abuse other users
• Send spam or unsolicited promotions
• Attempt to trade or sell outside the platform to avoid fees
• Impersonate another person
• Share harmful, illegal, or inappropriate content
• Interfere with another user's listings or transactions

HoloSync may monitor messaging to enforce policies.

We may warn, suspend, or ban users who violate conduct rules.

9. Prohibited Activities

You may not:

• Use the platform for illegal activity
• Sell counterfeit or fraudulent cards
• Manipulate pricing or engage in market manipulation
• Use bots, scrapers, or automated tools without permission
• Upload harmful code or attempt to hack the platform
• Attempt to reverse-engineer any part of the Services

10. Disputes Between Users

In disputes between users, HoloSync may—but is not required to—mediate.

We may:

• Request evidence from both parties
• Issue refunds or payouts
• Freeze or reverse transactions
• Remove users engaging in fraud

HoloSync's decision is final.

11. Intellectual Property

The HoloSync name, logo, design, trademarks, and original content are owned by HoloSync.

You may not copy, modify, distribute, or exploit any part of the platform without written permission.

12. User Content

You retain rights to content you upload (photos, profile info, listings).

You grant HoloSync a non-exclusive, royalty-free, worldwide license to:

• Use
• Display
• Modify
• Reproduce
• Promote

your content in connection with the Services.

You represent that you own or have rights to all content you upload.

13. Privacy

Our use of your data is governed by our Privacy Policy, which is incorporated into these Terms.

By using the Services, you consent to the collection and handling of your information as described in the Privacy Policy.

14. Service Modifications

We may modify, suspend, or discontinue any feature of the Services at any time without liability.

This includes:

• Marketplace features
• Fees
• Escrow mechanisms
• Messaging
• Trading features

15. Termination

HoloSync may suspend or terminate your access for any reason, including:

• Policy violations
• Fraudulent activity
• Chargebacks
• Abuse
• Failure to pay fees

You may close your account at any time, though certain data may be retained as required by law.

16. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." HOLOSYNC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• Listings are accurate
• Items are authentic
• Transactions are secure or uninterrupted
• Users will behave responsibly

17. Limitation of Liability

To the fullest extent permitted by law:

• HoloSync is not liable for lost profits, data loss, reputational damage, counterfeit items, disputes between users, or any indirect damages.
• HoloSync's total liability will not exceed the greater of:
  • (a) the total fees paid by you in the past 6 months, or
  • (b) $100 USD.

18. Indemnification

You agree to indemnify and hold HoloSync harmless from any claims arising from:

• Your use of the Services
• Your content or listings
• Your transactions
• Your violations of laws or these Terms

19. Governing Law & Disputes

These Terms are governed by the laws of the State of [YOUR STATE], without regard to conflict of laws.

Any disputes must be resolved through:

1. Informal resolution, then
2. Binding arbitration (unless prohibited), not in court, and without class actions.

20. Changes to the Terms

We may update these Terms at any time. We will notify users by posting the revised version with the "Last Updated" date.
