Terms of Service

1. Eligibility

HoloSync offers different levels of access based on age:

1.1 General Account Access (Age 13+)

Users who are at least 13 years of age (or the minimum age of digital consent in their jurisdiction) may create an account and use community features, including:

• Creating a profile and showcasing their collection.
• Browsing listings and marketplace activity.
• Participating in community features where available.

Users under 18 must have verifiable parental or guardian consent to create an account. HoloSync reserves the right to terminate accounts where consent cannot be confirmed.

1.2 Marketplace Access (Age 18+)

To buy or sell on HoloSync, you must:

• Be at least 18 years old (or the age of majority in your jurisdiction).
• Have the legal authority to enter into a binding contract.
• Use the Services in compliance with all applicable laws.

By creating an account or engaging in marketplace activity, you represent and warrant that you meet the applicable eligibility requirements.

2. Account Registration

To access certain features (buying, selling, messaging, verification, alerts), you must create an account.

You agree to:

• Provide accurate and complete information.
• Keep your login credentials secure.
• Not share or sell your account.
• Notify us immediately of unauthorized access.

You are responsible for all activity that occurs under your account.

HoloSync may suspend or terminate accounts for suspicious activity, violations of these Terms, or fraudulent behavior.

3. Marketplace Features

HoloSync is a technology platform that provides tools enabling users to buy, sell, trade, and showcase collectible cards. HoloSync acts solely as an intermediary marketplace and is not a buyer, seller, broker, auctioneer, or party to any transaction between users. HoloSync has no control over and makes no representations regarding the quality, safety, legality, authenticity, or availability of items listed, the accuracy of listings, the ability of sellers to sell, or the ability of buyers to pay.

Any contract for sale is formed directly and exclusively between the buyer and seller. HoloSync expressly disclaims all liability arising from or related to any transaction between users.

3.1 Listings

Sellers are responsible for:

• Ensuring listings are accurate, complete, and not misleading.
• Accurately describing card condition.
• Providing real photos when required.
• Complying with applicable shipping laws.

HoloSync may remove or alter listings that violate policies or appear fraudulent.

3.2 Purchases

By placing an order, you agree to purchase the item at the listed price and pay all applicable fees and taxes.

All sales are binding.

3.3 Trades (Future Feature)

Trading features may be offered in the future. Users engaging in trades acknowledge that HoloSync does not guarantee condition, authenticity, or value unless stated otherwise.

4. Payment Processing & Payouts

All payments on HoloSync are processed exclusively by Trustap, a third-party payment processor. HoloSync does not directly handle, store, or process any payment information, including credit card numbers or bank account details. By completing a transaction, you are subject to Trustap's User Agreement in addition to these Terms.

When you buy or sell:

• Seller payouts are processed by Trustap at HoloSync's discretion. Payout timing may vary based on transaction review, account standing, and Trustap's standard processing times.
• HoloSync reserves the right to delay, withhold, or reverse a payout in connection with an open dispute, suspected fraud, or a violation of these Terms.
• Fees may apply and will be disclosed at checkout or payout.
• You authorize Trustap to debit/credit your payment methods as needed to complete transactions on the HoloSync platform.

HoloSync is not responsible for delays, errors, or disputes caused by Trustap, banks, or shipping carriers.

5. Trustap Services

All paid transactions conducted on HoloSync are processed using services provided by Trustap.com ("Trustap") and are covered by Trustap Buyer Protection where applicable. Trustap is an independent third-party service provider. When you use Trustap Services through HoloSync, you acknowledge and agree that:

5.1 Relationship with Trustap

• You enter into a direct contractual relationship with Trustap for the provision of Trustap Services.
• Your use of Trustap Services is governed by Trustap's Terms of Service, Privacy Policy, and all other applicable policies.
• By using Trustap Services through HoloSync, you agree to comply with those policies and are responsible for reviewing them periodically, as your continued use of Trustap Services will constitute acceptance of any updates.
• HoloSync does not control Trustap's services or policies and is not responsible for Trustap's performance of those services.

5.2 Data Sharing with Trustap

To facilitate transaction processing, HoloSync will share relevant transaction and user data with Trustap. By using Trustap Services, you consent to such sharing. Please review both HoloSync's Privacy Policy and Trustap's Privacy Policy to understand how your data is collected, used, and protected. This consent may be required under applicable data protection law, including the General Data Protection Regulation (GDPR) where applicable.

5.3 Transaction Processing

Trustap facilitates the collection, holding, and release of funds related to transactions conducted on HoloSync in accordance with its policies and procedures. HoloSync does not itself hold or process funds associated with transactions processed through Trustap Services.

5.4 Complaint Period

Buyers must report any issue with a transaction within 48 hours following delivery confirmation (the "Complaint Period"), as defined under Trustap's Terms of Service.

If a dispute is not submitted within the Complaint Period, the transaction will be deemed successfully completed and funds will be released to the seller in accordance with Trustap's policies.

5.5 Submitting a Dispute

To submit a dispute, buyers must follow the instructions provided in the delivery confirmation email sent by Trustap (from noreplies@trustap.com). These instructions require the buyer to:

• Log in to your Trustap account via the link provided in the email. If you have not previously used Trustap, you will need to register an account first.
• Access your transaction page and follow the dispute submission flow, as described in Trustap's Terms of Service.

5.6 Dispute Investigations and Outcome Decisions

Disputes relating to transactions processed using Trustap Services will be handled in accordance with Trustap's Disputes, Refunds and Returns Policy.

Trustap-managed disputes

Dispute investigations and outcome determinations will be administered by Trustap in accordance with its applicable policies. Trustap may request information or documentation from buyers and sellers in order to investigate and resolve disputes. Trustap's decisions are final, subject to any rights available to you under applicable law.

5.7 Additional Platform Rules

HoloSync may establish additional rules, conditions, limitations, or exclusions relating to transactions processed through Trustap Services (the "Additional Platform Rules"). Any Additional Platform Rules will be clearly documented within these Terms in this Section 5.7, or, where expressly stated, published on the Platform and incorporated into these Terms by reference.

6. User Verification

HoloSync may require identity verification (ID checks, address confirmation, selfie verification, etc.) to ensure platform safety.

You agree that:

• You will provide accurate verification information.
• HoloSync may suspend or restrict your account if verification fails or is refused.
• Verification is used only to enhance trust and prevent fraud.

7. Authenticity & Condition

Unless explicitly stated ("HoloSync Verified"), HoloSync does not guarantee authenticity, grading accuracy, value, or condition of items sold.

Users are responsible for:

• Truthful descriptions,
• Accurate grading,
• Disclosing flaws, alterations, or restorations.

HoloSync may offer authenticity checks or condition checks in the future, but these do not replace user responsibility.

8. Fees

HoloSync may charge fees for:

• Selling
• Payout scheduling and transaction processing services
• Instant payouts
• Dispute handling
• Shipping labels
• Premium account features

Fees may change at any time with notice posted on the platform.

9. Messaging & User Conduct

You agree not to:

• Harass, threaten, or abuse other users
• Send spam or unsolicited promotions
• Attempt to trade or sell outside the platform to avoid fees
• Impersonate another person
• Share harmful, illegal, or inappropriate content
• Interfere with another user's listings or transactions

HoloSync may monitor messaging to enforce policies.

We may warn, suspend, or ban users who violate conduct rules.

10. Prohibited Activities

You may not:

• Use the platform for illegal activity
• Sell counterfeit or fraudulent cards
• Manipulate pricing or engage in market manipulation
• Use bots, scrapers, or automated tools without permission
• Upload harmful code or attempt to hack the platform
• Attempt to reverse-engineer any part of the Services

11. Disputes Between Users

HoloSync is not obligated to become involved in or mediate disputes between users. If HoloSync elects, in its sole and absolute discretion, to assist in resolving a dispute, such assistance does not create any obligation, liability, or warranty on the part of HoloSync, and HoloSync expressly disclaims all liability for the outcome of any dispute or its resolution.

At HoloSync's sole discretion, we may:

• Request evidence from one or both parties
• Facilitate refunds or payouts through Trustap
• Temporarily freeze or reverse transactions pending investigation
• Suspend or remove users found to be engaging in fraud or policy violations

Any determination made by HoloSync in the course of an informal dispute review is made as a courtesy only, is non-binding, and does not constitute legal arbitration or adjudication. Users retain the right to seek independent legal remedies.

HoloSync shall not be liable to any party for any action taken or not taken in connection with a user dispute.

12. Intellectual Property

The HoloSync name, logo, design, trademarks, and original content are owned by HoloSync.

You may not copy, modify, distribute, or exploit any part of the platform without written permission.

13. User Content

You retain rights to content you upload (photos, profile info, listings).

You grant HoloSync a non-exclusive, royalty-free, worldwide license to:

• Use
• Display
• Modify
• Reproduce
• Promote

your content in connection with the Services.

You represent that you own or have rights to all content you upload.

14. Privacy

Our use of your data is governed by our Privacy Policy, which is incorporated into these Terms.

By using the Services, you consent to the collection and handling of your information as described in the Privacy Policy.

15. Service Modifications

We may modify, suspend, or discontinue any feature of the Services at any time without liability.

This includes:

• Marketplace features
• Fees
• Payout scheduling and transaction processing
• Messaging
• Trading features

16. Termination

HoloSync may suspend or terminate your access for any reason, including:

• Policy violations
• Fraudulent activity
• Chargebacks
• Abuse
• Failure to pay fees

You may close your account at any time, though certain data may be retained as required by law.

17. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS," WITHOUT WARRANTY OF ANY KIND. HOLOSYNC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT.

Without limiting the foregoing, HoloSync makes no warranty or representation that:

• The Services will meet your requirements or be available on an uninterrupted, timely, secure, or error-free basis
• Any listings, item descriptions, or user-submitted content are accurate, complete, or reliable
• Items listed or sold are authentic, as described, or of merchantable quality
• Transactions will be completed successfully or free from disputes
• Users will act honestly, responsibly, or in compliance with these Terms
• Any defects or errors in the Services will be corrected
• The Services or servers that make them available are free of viruses or other harmful components

HoloSync is not responsible for the conduct, acts, or omissions of any user, whether online or offline. You use the Services and engage in transactions entirely at your own risk.

Some jurisdictions do not allow the exclusion of implied warranties, so certain exclusions above may not apply to you. In such jurisdictions, HoloSync's warranties are limited to the minimum scope and duration permitted by applicable law.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HOLOSYNC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SERVICE PROVIDERS, OR SUCCESSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• LOSS OF PROFITS OR REVENUE
• LOSS OF DATA OR BUSINESS INFORMATION
• LOSS OF GOODWILL OR REPUTATION
• COST OF SUBSTITUTE GOODS OR SERVICES
• DAMAGES ARISING FROM COUNTERFEIT, FRAUDULENT, OR MISREPRESENTED ITEMS
• DAMAGES ARISING FROM DISPUTES BETWEEN USERS
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR ACCOUNT OR DATA
• DAMAGES ARISING FROM THE ACTS OR OMISSIONS OF ANY THIRD PARTY, INCLUDING TRUSTAP, SHIPPING CARRIERS, OR OTHER USERS
• ANY OTHER INDIRECT OR CONSEQUENTIAL LOSS, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY

Even if HoloSync has been advised of the possibility of such damages, HoloSync's total aggregate liability to you for all claims arising out of or related to these Terms or the Services shall not exceed the greater of: (a) the total fees paid by you to HoloSync in the six (6) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100 USD).

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you in full. In such jurisdictions, HoloSync's liability shall be limited to the maximum extent permitted by applicable law.

19. Indemnification

You agree to defend, indemnify, and hold harmless HoloSync and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your access to or use of the Services
• Any content, listings, or information you submit, post, or transmit through the Services
• Any transaction you enter into through the Services
• Your violation of these Terms or any applicable law or regulation
• Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
• Any dispute between you and another user
• Any misrepresentation made by you

HoloSync reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate fully with HoloSync in asserting any available defenses.

20. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

19.1 Informal Resolution

Before filing any formal legal claim, you agree to first contact HoloSync at support@holosync.io and provide a written description of the dispute. Both parties agree to make a good-faith effort to resolve the dispute informally within thirty (30) days of notice.

19.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by final and binding individual arbitration administered under the rules of the American Arbitration Association (AAA). The arbitration shall be conducted in Florida, unless otherwise agreed in writing.

19.3 Class Action Waiver

YOU AND HOLOSYNC EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. ALL DISPUTES MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

19.4 Exceptions

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.

21. Changes to the Terms

We may update these Terms at any time. We will notify users by posting the revised version with the "Last Updated" date.

Your continued use of the Services constitutes acceptance of the updated Terms.

22. Digital Millennium Copyright Act (DMCA)

HoloSync respects the intellectual property rights of others. If you believe that content on the Services infringes your copyright, you may submit a written notice to our designated agent at support@holosync.io including:

• A description of the copyrighted work you claim has been infringed
• A description of where the allegedly infringing material is located on the Services
• Your contact information
• A statement that you have a good-faith belief that the use is not authorized
• A statement under penalty of perjury that the information is accurate and you are the copyright owner or authorized to act on their behalf
• Your physical or electronic signature

HoloSync will respond to valid DMCA notices in accordance with applicable law. Repeat infringers may have their accounts terminated.

23. Force Majeure

HoloSync shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent such failure or delay is caused by events beyond HoloSync's reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet or telecommunications failures, power outages, or actions of third-party service providers such as Trustap or hosting providers.

24. Severability

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect.

25. Entire Agreement & No Waiver

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and HoloSync with respect to the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

No waiver by HoloSync of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or any other term, and any failure by HoloSync to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

These Terms do not and are not intended to confer any rights or remedies upon any person other than you and HoloSync.
